Terms of Service

1. Agreement Overview

These Terms of Service ("Terms") govern your access to and use of StrivoNET, provided by Strivo Labs ("we", "our", "us").

By accessing or using StrivoNET, you agree to these Terms. If you are using StrivoNET on behalf of an organisation, you represent that you have authority to do so, and that the organisation accepts these Terms.

2. The Service

StrivoNET is a secure intranet employee portal designed to enable organisations to manage internal communications, documents, employee data, and workflows.

Access to StrivoNET is provided to users authorised by a subscribing organisation ("Organisation").

3. Account Registration and Security

• •You must provide accurate information when creating an account.
• •You are responsible for safeguarding your login credentials and for any activity under your account.
• •You must promptly notify Strivo Labs of any unauthorised access or security incident.

4. Acceptable Use

You agree not to:

• •Use StrivoNET for unlawful, fraudulent, or malicious activity.
• •Upload or share content that infringes others' rights, is obscene, defamatory, or discriminatory.
• •Attempt to interfere with the platform's operation or gain unauthorised access.
• •Circumvent or disable any security feature of the Service.

5. Ownership and Intellectual Property

All rights, title, and interest in the StrivoNET platform, software, design, trademarks, and content remain the property of Strivo Labs.

You retain ownership of any content you or your Organisation upload, subject to a licence for Strivo Labs to use that content as necessary to operate and improve the Service.

6. Data Protection

Strivo Labs will process personal data in accordance with the StrivoNET Privacy Policy and the NDPA 2023.

Where your Organisation is the Data Controller and Strivo Labs acts as a Data Processor, both parties shall enter into a separate Data Processing Agreement (DPA) consistent with NDPC guidelines.

7. Fees and Payment

Subscription fees are governed by the agreement between Strivo Labs and your Organisation. Your individual use of the Service depends on the Organisation's valid subscription.

8. Suspension and Termination

Strivo Labs may suspend or terminate access if:

• •Required by law or regulator;
• •There is misuse, breach of these Terms, or security threat;
• •The Organisation's subscription expires or is terminated.

Upon termination, access will end, and data will be retained or deleted per the Organisation's data retention policy.

9. Disclaimers

The Service is provided "as is" without any warranties, express or implied. Strivo Labs does not warrant that the Service will be error-free, uninterrupted, or fit for a particular purpose.

10. Limitation of Liability

To the maximum extent permitted by Nigerian law:

• •Strivo Labs shall not be liable for any indirect, incidental, or consequential damages.
• •Total liability for direct damages shall not exceed the subscription fees paid by the Organisation in the 12 months preceding the incident.
• •Nothing in these Terms excludes liability for death, personal injury, or fraud.

11. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated via email or the StrivoNET portal. Continued use after notice constitutes acceptance.

12. Governing Law and Dispute Resolution

Disputes shall first be resolved through good-faith negotiation and mediation. If unresolved, they shall be submitted to the competent courts in Lagos State, Nigeria.
